Tesla Retains Terafab Control, Limiting TSMC to Site Leases

The initial $16.8 billion Texas project targets 1 terawatt of annual AI compute with Intel as process partner, while TSMC faces limits to cleanroom space.

Tesla Chief Executive Elon Musk confirmed Oct. 9, 2026, that the automaker will retain internal operational control of its planned Terafab semiconductor complex despite discussions with Taiwan Semiconductor Manufacturing Co.

The initial phase carries a $16.8 billion capital budget in Grimes County, Texas, while total multi-phase allocations could reach $119 billion, according to municipal development filings.

Terafab targets an annual output of 1 terawatt of artificial intelligence computing capacity, designed to supply custom silicon for Tesla autonomous vehicles, Optimus humanoid robots and SpaceX orbital communications hardware.

The facility plans to span 100 million square feet near Gibbons Creek Reservoir, centralizing wafer fabrication, memory production, advanced packaging and testing under a single operating structure.

Musk dismissed market speculation regarding an operational handover, stating that Tesla and SpaceX will build and run the fab directly, limiting TSMC to a potential cleanroom sublease.

The statement followed early discussions acknowledged Oct. 3, when industry reports suggested TSMC was evaluating management roles to operate high-volume manufacturing lines inside the Texas complex.

American depositary receipts of TSMC fell 1.3% after Musk ruled out operational control, as investors reassessed high-margin foundry management fees from the Texas complex.

Intel remains the primary manufacturing technology partner for the project, Intel Chief Executive Lip-Bu Tan said Oct. 7 in Tokyo ahead of a corporate anniversary event.

Shares of Intel gained 1.6% following Tan's remarks, recovering losses from earlier in the week when market speculation suggested TSMC might displace Intel at the site.

Under an agreement reached in April 2026, Intel provides process design kits for its 14A node, a 1.4-nanometer manufacturing standard featuring RibbonFET gate architecture and PowerDirect backside power delivery.

SpaceX Form S-1/A filings with the Securities and Exchange Commission confirm a general cooperation framework among Tesla, SpaceX and Intel, though operational execution remains subject to bilateral negotiations.

Initial prototype fab operations remain centered in Austin, Texas, adjacent to Tesla's existing Gigafactory Texas, prior to full-scale cleanroom construction at the Grimes County campus.

The fab is designed to produce Tesla's proprietary AI5 and AI6 processors, aiming to reduce dependence on merchant accelerators from commercial chip suppliers by roughly 90%.

Automotive manufacturers face severe supply bottlenecks in advanced packaging, where high-bandwidth memory and multi-die chiplets require specialized interconnect capacity dominated globally by TSMC.

By consolidating back-end packaging and front-end lithography on one site, Tesla seeks to bypass lengthy transit cycles and packaging allocation quotas between Asian foundries and American plants.

Automotive original equipment manufacturers traditionally operate as fabless design teams, outsourcing wafer fabrication to foundries and packaging to specialized assembly houses to avoid fixed asset depreciation.

Direct fab ownership breaks with automotive industry precedent, placing extreme ultraviolet lithography depreciation, yield ramp vulnerabilities and hazardous material management directly onto automaker balance sheets.

Operating an advanced semiconductor facility requires specialized cleanroom discipline and high-purity chemical supply lines that automotive manufacturing operations have never managed internally.

Opening cleanroom sublease discussions with TSMC provides Tesla with commercial bargaining power, balancing Intel's process deployment schedule against alternative packaging and foundry engineering support.

The industrial project expects to generate at least 3,000 engineering and manufacturing positions during its initial phase, according to state economic development documentation.

State incentives include a $30 million grant from the Texas Enterprise Fund alongside property tax abatements approved by Grimes County commissioners in June 2026.

Neither Tesla nor TSMC has filed a Form 8-K or regulatory disclosure detailing binding sublease terms, capital expenditure commitments or formal commercial agreements for the Texas facility.

TSMC scheduled its third-quarter earnings conference for Oct. 15, 2026, when executives are expected to address customer co-location requests and North American foundry investment timelines.
