Japan Investment Corp is pursuing the sale of photoresist maker JSR to Mitsui Chemicals for more than 1.3 trillion yen ($8.2 billion), sources familiar with the matter said Nov. 4, 2026.

Mitsui Chemicals confirmed in a regulatory filing the same day that it is considering acquiring JSR to enhance corporate value. The chemical maker stated that no formal decision has been reached.

The proposed transaction price of 1.3 trillion yen exceeds the 800 billion yen ($5 billion) market valuation of Mitsui Chemicals. That valuation gap triggered an immediate market reassessment of the buyer's balance sheet.

Shares in Mitsui Chemicals fell between 11% and 13% during trading on the Tokyo Stock Exchange. Investors moved quickly to price in debt burdens and potential share dilution from financing the purchase.

JIC acquired JSR for roughly 900 billion yen ($5.7 billion) in 2024 to take the materials supplier private. The state-backed buyout vehicle is overseen by Japan's Ministry of Economy, Trade and Industry.

The sovereign fund initially intended to use JSR as an anchor platform to consolidate fragmented domestic semiconductor material suppliers. Elevated valuations across the artificial intelligence hardware supply chain prompted an earlier exit.

JSR holds a leading position in advanced photoresists, the light-sensitive chemical coatings used to etch nanoscale circuitry onto silicon wafers. The supplier accounts for roughly 30% of the global market for photoresists.

Those chemical solutions are essential for extreme ultraviolet lithography systems used by leading foundries. JSR recorded a net profit of 60.7 billion yen for the fiscal year ended March 2026, its highest on record.

The company divested its non-core and unprofitable product lines after going private. That operational restructuring allowed JSR to focus engineering and capital expenditures entirely on semiconductor lithography resins and advanced packaging materials.

Mitsui Chemicals produces basic petrochemicals, high-performance polymers and specialty electronic materials. Absorbing JSR would instantly transform the industrial chemical manufacturer into a tier-one supplier of advanced semiconductor patterning chemicals.

The purchase would surpass Showa Denko's 2020 acquisition of Hitachi Chemical, which created Resonac Holdings. That 960 billion yen transaction represented the previous record for consolidation within Japan's chemical manufacturing industry.

Japan's materials sector faces rising capital demands as chipmakers transition to high-numerical-aperture extreme ultraviolet lithography tools. Developing compatible chemical formulations requires heavier research spending and closer technical alignment with fab operators.

Tokyo policymakers have encouraged domestic consolidation to prevent foreign buyouts of critical lithography inputs. Japanese chemical vendors control more than 70% of the worldwide supply of extreme ultraviolet photoresists.

A transfer to Mitsui Chemicals preserves domestic ownership of JSR's proprietary chemical synthesis patents. It also shifts future capital expenditure obligations from the state fund to a publicly traded industrial conglomerate.

Mitsui Chemicals closed the previous fiscal quarter with 217.8 billion yen in cash reserves and 876.4 billion yen in interest-bearing debt. Covering the purchase price will require substantial external debt or hybrid financing.

The scale of required capital explains the swift drop in equity value after news of the transaction broke. Credit rating agencies and bank syndicates will review debt leverage thresholds if talks proceed.

Beyond photoresists, Mitsui Chemicals manufactures extreme ultraviolet pellicles, the protective membranes that shield photomasks from airborne contamination during wafer exposure. Integrating pellicle fabrication with JSR's chemical formulations would create a single domestic supplier across lithography protection and exposure materials.

Advanced chipmakers such as Taiwan Semiconductor Manufacturing Co., Intel and Samsung Electronics require tightly matched chemical and pellicle tolerances at sub-two-nanometer nodes. A combined product catalog gives Mitsui Chemicals direct technical engagement with those leading foundries.

Domestic rivals Shin-Etsu Chemical, Tokyo Ohka Kogyo and Fujifilm Holdings will face a larger, integrated chemical peer in standard photoresist bidding rounds. That dynamic is likely to accelerate secondary joint ventures among independent Japanese resin formulators.

Neither JIC nor JSR issued formal press statements regarding the sale process on Nov. 4. Representatives from both organizations declined to comment on negotiations when contacted by wire services.

The regulatory filing from Mitsui Chemicals does not state the transaction valuation, financing terms or structural deal mechanics. Those binding financial details remain unconfirmed across published corporate and regulatory records.

Negotiations between JIC and Mitsui Chemicals could yield a formal agreement as soon as November 2026, according to people familiar with the schedule. The state fund continues internal review of the divestment timeline.

## Impact map

| Event | Korea | China | Japan | Global impact |
